Terms of Service
Operated by AcumiSol Ltd (trading as SolutionRelay), registered in Ireland (no. 815540), registered office Venture Hub, 136 Capel Street, Dublin, D01 T2C9 ("AcumiSol", "we", "us").
Effective 28 August 2026
1. These terms
These terms govern your use of SolutionRelay at solutionrelay.com (the "Platform"). By registering for or using the Platform you agree to them. If you use the Platform for an organisation, you confirm you have authority to bind it. The Platform is for business use only and is not directed at consumers or anyone under 18.
2. What we do
SolutionRelay connects organisations seeking professional services ("Clients") with solution providers ("Providers").
We are an introducer. Any contract formed between a Client and a Provider is solely between them. We are not a party to it, do not supply the services, and are not responsible for their performance, quality, legality, timing or outcome.
3. Accounts
You must provide accurate registration information and keep it up to date. You are responsible for activity under your account and for keeping your credentials secure.
4. Verification
Some information on the Platform is self-declared, including qualifications and insurance. We do not independently verify all information. Responsibility for accuracy rests with the user who provides it.
5. Provider obligations
If you act as a Provider you warrant that your listings, credentials and proposals are accurate and not misleading, that you hold the qualifications, registrations and insurance you claim, and that you can deliver what you propose. You are solely responsible for your own contractual, tax, regulatory and professional obligations to Clients.
6. Client obligations
If you act as a Client you agree to describe your requirements accurately and to be responsible for your own assessment of any Provider before engaging them. Any figures the Platform provides are indicative only.
7. Fees
Current rates and what they cover are shown at the point of purchase. Payments are processed by a third-party payment provider; we do not store card details. Recurring fees renew until cancelled. Fees are non-refundable except where required by law.
8. On-platform payments
We may make a payment facility available under which funds relating to an engagement are held and later released, and through which payouts are made using our third-party payment provider. Held funds remain the money of the user who deposited them until released or returned, and are not our fees. We provide this facility at our discretion and may change, suspend or withdraw it at any time.
Any holding or release of funds is a payment-handling service only. It does not make us a party to the engagement, the supplier of the services, or an escrow agent or fiduciary. We take no part in resolving disputes between users. If a dispute arises while we hold funds, we may return, hold or release them as we see fit, acting in good faith. Any such decision is administrative and is not a determination about the work.
9. Content on the Platform
Output generated by the Platform is provided "as is" and is not a guarantee of quality, suitability or outcome. We may monitor, moderate, filter or remove content and communications on the Platform. You agree not to use the Platform to circumvent its features, controls or fees.
A proposal remains the intellectual property of the Provider who submits it. Presenting it to a Client is for evaluation only and transfers nothing. Rights in deliverables are a matter for the direct contract between Client and Provider. You grant us the licence in section 13 to host, display and process your content so we can operate the Platform.
10. Reviews
Reviews and outcome information form part of a user's track record on the Platform. You agree to provide honest feedback and not to manipulate reviews.
11. Third-party connections
You may connect third-party accounts. When you do, you authorise the actions described at the point of connection. You remain responsible for complying with those third parties' terms and for any data you bring into the Platform, including holding a lawful basis to contact any individual through it.
12. Acceptable use
You must not misuse the Platform, including by providing false information, infringing others' rights, uploading unlawful or harmful content, bypassing fees, controls or security, scraping or extracting data from the Platform at scale, or sending unlawful communications.
13. Intellectual property
We and our licensors own the Platform and its content, excluding your own material. You retain ownership of content you submit but grant us a licence to host, display, process and use it to operate and improve the Platform.
14. Disclaimers and liability
The Platform is provided "as is" and "as available" without warranties of any kind to the fullest extent permitted by law. We are not liable for the acts, omissions, performance or solvency of any Client or Provider, or for any engagement formed through the Platform. Nothing here limits liability that cannot be limited by law. Subject to that, our total liability is limited to the greater of the fees you paid or that were payable to us in the 12 months before the claim or €100, and we are not liable for indirect or consequential loss, or loss of profit, business, goodwill or data. This does not limit our obligation to return or account for funds held under section 8.
15. Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these terms, your content, your engagements with other users, or your unlawful processing of personal data.
16. Suspension and termination
You may close your account at any time. We may suspend or terminate access where you breach these terms, where required by law, or to protect the Platform or its users. Provisions intended to survive termination continue to apply.
17. Changes
We may update these terms. We will post the updated version with a revised date and, where changes are material, take reasonable steps to notify you.
18. Governing law
These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
19. Severability
If any provision of these terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
